Agreement, Acknowledgement, and Acceptance of Terms
These Terms of Use govern your access to and use of non-clinical services, interfaces, websites, mobile applications, and other services or products owned or controlled by Patient Care Automation, LLC, doing business as Sherpa Health.
By accessing or using the Service, you acknowledge that you have read, understand, and accept these Terms and the Sherpa Health Privacy Policy. If you do not agree, or if you are under eighteen (18), you are not authorized to use the Site or Service.
Sherpa may change these Terms at any time. Continued use of the Service after changes are posted means you agree to the updated Terms.
Medical Services and Related Advice
Sherpa does not provide medical advice, medical services, or medical care. Site content is for informational purposes only and is not intended to provide medical advice, diagnosis, or treatment.
Always seek the advice of your physician or medical provider with questions about a health condition or treatment. Sherpa does not recommend or endorse specific providers, tests, physicians, medications, products, or procedures.
Medical Emergencies and Urgent Situations
The Site and Service are not for medical emergencies or urgent situations. If you are experiencing a medical emergency, call 911 immediately.
Prescription Policy
Sherpa does not endorse any specific medication, pharmacy, or pharmacologic product and honors patient freedom of choice.
Availability of Services
Sherpa operates subject to state and federal regulations. The Service may not be available in every state and is intended only for users located in the United States where the Service is available.
Site Access, Security, and Restrictions
You represent that you are at least eighteen (18) years old. You agree to prevent unauthorized use of your Service access and to notify Sherpa of actual or suspected unauthorized use.
You may not violate or attempt to violate Site security, use automated scraping or crawling tools, access data not intended for you, interfere with service to any user or network, or use the Site for unlawful purposes.

By using the Site or Service, you consent to receive communications from Sherpa electronically. By providing a mobile number, you agree to be contacted by or on behalf of Sherpa, including by phone call or text message, regarding the Site or Service. Message and data rates may apply.

Ownership of Service
The Service and its content, including copyrights, patents, trademarks, service marks, trade names, logos, text, design, graphics, icons, images, audio clips, downloads, interfaces, code, and software, are proprietary and owned or controlled by Sherpa, its licensors, or other third parties.
No right, title, or interest in the Service or Content is transferred to you. You may not reproduce, distribute, modify, publish, create derivative works from, or exploit the Content except as expressly permitted.
Accuracy of Information and Third-Party Links
Sherpa attempts to ensure the integrity and accuracy of the Site but makes no representations, warranties, or guarantees as to correctness or accuracy. The Service may include links to third-party sites, and Sherpa is not responsible for their content or availability.
User Information and Protected Health Information
If you submit information to Sherpa, you agree not to provide information that is false, inaccurate, defamatory, unlawful, obscene, threatening, harassing, infringing, or harmful.
Certain medical information provided through the Service may be protected under applicable law. Protected Information will be used and disclosed only in accordance with applicable law. Information that is not Protected Information may be used or disclosed as permitted by the Privacy Policy.
Disclaimer and Limitation of Liability
The Site and all services, information, goods, and materials made available through the Site are provided “as is” without express representations or warranties of any kind.
Sherpa will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for damages related to loss of profits, loss of use, loss of data, or loss of security of information.
Indemnification
You agree to indemnify, defend, and hold harmless Sherpa and its officers, directors, employees, representatives, agents, successors, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from your use of the Site or Service or your violation of these Terms.
Governing Law, Arbitration, and Dispute Resolution
These Terms are governed by the laws of the United States and the State of New York, without regard to conflicts of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms shall be determined by binding arbitration by the American Arbitration Association in accordance with the substantive law of the State of New York.

Jury Trial and Class Action Waiver
Each party irrevocably waives the right to trial by jury in any legal proceeding arising out of or related to these Terms. You and Sherpa agree that claims may be brought only on an individual basis and not as part of a class or representative action.
Force Majeure and Severability
Sherpa will not be deemed in breach of these Terms due to events beyond its reasonable control, including acts of God, terrorism, pandemics, war, public network failures, electrical shortages, earthquakes, floods, civil disorder, strikes, fire, or other disaster.
If any provision of these Terms is held illegal, invalid, or unenforceable, that determination will not affect any other provision.
